For more than 35 years, Phil Sudan has represented individuals, partnerships and
corporations in connection with mergers and acquisitions, issuance of corporate
securities, and international business and tax transactions, as well as providing advice
on general business transactions. In addition, Mr. Sudan as a consultant to Eversheds
O'Donnell Sweeney, Dublin, Ireland, regularly advises non-United States based entities
on establishing and/or expanding operations within the United States or advises United
States based businesses on expanding into Ireland or the European Economic Union.
Representative Experience
- Handled mergers and acquisitions, including the drafting of asset and stock
purchase agreements, stock redemptions, due diligence and tax planning
- Prepared intellectual property transfers and licenses, research and development
agreements as well as manufacturing license agreements
- Provided international tax planning regarding transfer pricing, qualification for
treaty benefits, international sales and use of foreign tax credits
- Negotiated transactions, including tender offers, mergers, asset and stock
transactions, spinoffs, leveraged buyouts, recapitalizations and significant corporate
investments
- Provided advice and counsel to Boards of Directors and Special Committees on their
fiduciary duties in takeover situations
- Prepared international and domestic sales representative and distribution
agreements, manufacturing services contracts, joint development agreements, joint
operating agreements, joint marketing agreements and joint ventures
